End-User License Agreement - Ignite Spot Extraction Tool

This End-User License Agreement ("Agreement") governs use of the Extraction
Tool software application (the "Software") provided by Ignite Spot, LLC ("Ignite
Spot," "we," "us," or "our"). By accessing or using the Software, you ("User") agree
to the terms of this Agreement. If you do not agree, do not access or use the
Software.

1. Internal Business Tool
The Software is a proprietary, internal-use application developed by and for
Ignite Spot. It is not offered for sale, public distribution, or use by the general
public. Access is limited to Ignite Spot personnel and authorized contractors
acting on Ignite Spot's behalf.

2. License Grant
Ignite Spot grants authorized Users a limited, non-exclusive, non-transferable,
revocable license to use the Software solely for Ignite Spot's internal business
purposes, in accordance with this Agreement and all applicable Intuit and
QuickBooks API terms.

3. Purpose and Permitted Use
The Software connects to QuickBooks Online through Intuit's API to retrieve
accounting data — including trial balances, general ledger detail, and chart-of-
account information — on a read-only basis, for the purposes of internal financial
reporting, quality control, and client advisory work. Users may use the Software
only for these purposes.

4. Restrictions
Users shall not: (a) use the Software for any purpose other than Ignite Spot's
internal business; (b) distribute, sublicense, sell, lease, or otherwise make the
Software available to any third party; (c) reverse engineer, decompile, or attempt
to derive the source code except to the extent permitted by law; (d) use the
Software to access any QuickBooks Online company file without proper
authorization; or (e) use the Software in violation of any applicable law or of
Intuit's developer or API terms.

5. Data Access and Privacy
The Software accesses and processes financial data belonging to Ignite Spot's
clients on a read-only basis. Authentication credentials (OAuth tokens) are stored
in encrypted form, and retrieved data is stored on Ignite Spot's systems located in
the United States. Ignite Spot does not sell client data or share it with third parties
for marketing purposes; data may be disclosed to Intuit solely as required for API
connectivity, or as required by law. Ignite Spot's handling of personal and

6. Ownership
The Software, including all code, design, and related materials, is the exclusive
property of Ignite Spot and is protected by applicable intellectual property laws.
This Agreement grants a license to use the Software and does not transfer any
ownership rights.

7. Intuit and QuickBooks
The Software integrates with QuickBooks Online using Intuit's APIs. Use of the
Software in connection with QuickBooks Online is also subject to Intuit's
applicable terms of service and developer policies. Ignite Spot is solely
responsible for its use of Intuit's APIs in accordance with those terms.

8. Disclaimer of Warranties
The Software is provided "as is" and "as available," without warranties of any
kind, whether express or implied, including any implied warranties of
merchantability, fitness for a particular purpose, or non-infringement. Ignite Spot
does not warrant that the Software will be uninterrupted or error-free, or that
data retrieved through it will be complete or accurate.

9. Limitation of Liability
To the maximum extent permitted by law, Ignite Spot shall not be liable for any
indirect, incidental, special, consequential, or punitive damages, or for any loss of
data, profits, or business, arising out of or related to use of the Software, even if
advised of the possibility of such damages.

10. Termination
Ignite Spot may suspend or terminate access to the Software at any time, with or
without cause. Upon termination, the User's license to use the Software ends and
the User must cease all use.

11. Governing Law
This Agreement is governed by the laws of the State of Utah, without regard to its
conflict-of-laws principles.
